Amazon has elected Indra K. Nooyi as a director of the Company, and also appointed her to the Audit Committee of the Board. Nooyi was the CEO of PepsiCo from October 2006 to October 2018, where she also served as the Chairman of its board of directors from May 2007 to February 2019.

Nooyi, who was born in India, was one of the few women of color leading a Fortune 500 company. She becomes the second woman of color on Amazon's board after Starbucks COO Rosalind Brewer also joined the board earlier this month. In connection with her election, Ms. Nooyi was granted a restricted stock unit award under the Company’s 1997 Stock Incentive Plan for 549 shares of common stock of the Company, to vest in three equal annual installments beginning on May 15, 2020, assuming continued service as a director.
