Robert M. M. Shaffer joined Wood & Lamping in January of 2011 as a partner in the Firm’s Business Law and Commercial Finance & Contracts practice groups. Mr. Shaffer’s practice attends to the varying business and legal interests of his clients who include businesses, business owners and investors (be they institutional, individual, family, minority or controlling), and members of executive management and boards of directors.
Mr. Shaffer’s legal practice has involved companies of all sizes in numerous sectors, including, in more recent years, both consumer and business services, energy, manufacturing, software, biotech, automobile dealerships, real estate development, and financial services. His business acumen augments the scope of his service offering, from matters involving discrete, technical legal issues to designing and executing the legal structures requisite to the effective implementation of clients’ comprehensive business strategies.
Robert’s general business practice involves a wide range of matters including entity formation, shareholder agreements, operating agreements, governance, commercial contracts, consumer contracts, employment contracts, licensing and technology issues. He often acts as an outsourced general counsel serving the day to day legal needs of business clients directly or by identifying clients’ special demands for other attorneys’ technical, legal expertise and coordinating the provision of those services for the client’s benefit.
His transactional practice involves merger and acquisition transactions, venture and private equity fund financings, debt and equity security offerings, and strategic investment and partnering arrangements, on both a domestic and international basis. Mr. Shaffer is especially adept at designing, modeling and drafting complex, multi-class equity structures for privately held corporations and partnerships/limited liability companies, having represented issuers, investors, and management in a multitude of such transactions.
Mr. Shaffer received his J.D. from the University of Cincinnati College of Law and his B.A. from Yale University. In 2007 he was listed by the Cincinnati Business Courier’s Forty Under 40, in addition to being included on the 2005 – 2007 Super Lawyers® Ohio Rising Stars list.
