Anna is a member of ICR Capital’s Convertible & Equity Derivatives Advisory team and has 14 years of experience advising, negotiating, and structuring various equity finance, equity derivative, and equity-linked product transactions. She advises boards and management teams on structuring and executing convertible debt transactions, convertible preferred and mandatory offerings, structured share repurchases, capped calls and call spreads, hedging and monetization strategies (including collars, variable prepaid forwards, margin loans, etc.), and warrant management solutions.
Most recently, Anna served as Senior Capital Markets Company Counsel at Wells Fargo, where she advised multiple desks, covering equity derivatives and various other areas. Additionally, Anna represented Wells Fargo on industry initiatives such as the ISDA Equity Steering Committee and industry forums related to regulatory and legislative reform. Anna previously honed her expertise in equity derivatives at Barclays Capital. Throughout her career, she has dedicated countless hours to providing pro bono legal support to New York’s artists, entrepreneurs and families.
Anna began her career at Shearman & Sterling LLP, where she worked in both the Capital Markets and the Derivatives/Asset Management groups, providing legal guidance to a wide range of clients.
Born in Ukraine, Anna immigrated to the United States as a child and remains fluent in Russian. She received her law degree from the University of Virginia School of Law and her undergraduate degree from Columbia University. She lives in Connecticut with her husband and three sons.
