Michael Zaramba

Mr. Michael Zaramba brings to Intelligent Waves’ Board of Advisors his expertise on Employee Stock Ownership Plans (ESOPs) including tax-advantaged divestitures, 1042 elections, stock sale financing, and repurchase liability analysis. He has implemented and administered multiple Profit Sharing Plans, 401(k) Plans, and ESOPs. Zaramba is a senior-level executive with over 30 years of experience in fast-growing service company environments. He has held multiple leadership roles in finance, accounting, strategic planning, mergers and acquisitions, operations, human resources, risk management, and compliance.

Currently, Zaramba is a principal with Halyard Associates LLC. Halyard provides strategic planning, Mergers & Acquisitions support, assistance with capital raising, and fractional, and interim CFO services. In addition, Zaramba served as Chief Financial Officer for Pragmatics, Inc. – a $200M software engineering and services provider to various agencies of the Federal Government. In his role as CFO, Mr. Zaramba was responsible for all corporate support functions including accounting, finance, budgeting, treasury, human resources, risk management, IT, contracts, purchasing, and compliance. He also provided oversight for corporate tax functions as well as mergers & acquisitions.
