Juan M. Arciniegas

Partner at Chapman and Cutler

Juan Arciniegas is a partner and member of Chapman’s Corporate and Securities Department and Investment Management Group. Juan focuses his practice on transactional, regulatory and compliance matters associated with a broad range of derivatives and structured finance transactions. For nearly two decades, Juan has assisted clients in the United States and overseas on a wide variety of arrangements involving over-the-counter and exchange-traded derivatives products in almost every asset class and market. In combination with significant in-house experience early in his career, Juan has developed an extensive derivatives transactional and regulatory practice.

Transactional matters include the negotiation and implementation of comprehensive documentation for cleared and over-the-counter derivatives, foreign exchange, futures, forward-settling agency mortgage-backed securities, loan-level hedging programs (including “back-to-back” programs), prime brokerage arrangements, repurchase transactions (including FICC sponsored member transactions), securities lending arrangements, bespoke structured finance transactions, and related industry protocols implementing changes in those markets. He advises numerous financial institutions on their registration and attendant compliance obligations as swap dealers (and security-based swap dealers) and a wide range of regulatory matters involving the overlapping jurisdiction of securities and commodities regulation, including compliance with the Dodd-Frank Act, the applicable requirements of the U.S. Commodity Futures Trading Commission (CFTC), the U.S. Securities and Exchange Commission (SEC), the National Futures Association (NFA), and the rules and regulations of various clearinghouses and exchanges.
