John Oehmke

John Oehmke has been helping his clients buy and sell businesses for more than twenty years. He primarily helps them structure transactions, whether it is a merger, asset deal, or stock deal, representing both the buyer as they add new businesses and the seller as they exit.

John also advises clients on structuring their new business, including relations between organizers and investors. He helps manage board issues and advises on stock incentive arrangements, buy-sell agreements, and the many different commercial contracts businesses need for day-to-day operations, such as distribution agreements, service agreements, terms and conditions, and other matters that arise.

In addition, John helps his business clients negotiate their loan arrangements and prepare various commercial agreements businesses need every day, such as distribution agreements, service agreements, terms and conditions, and other day-to-day business needs.

John also frequently serves as local counsel to large lenders and sophisticated borrowers by providing loan advice and an opinion on California entities, California loan and guaranty issues, personal property and real property collateral, and deed of trust matters.
