Jessica M. Karner

Jessica Karner focuses her transactional practice on matters spanning the entire life cycle of a business: from entity choice, structuring and formation, buy-sell and other founders' agreements, private capital raising, and associated securities law matters; to general business and operational matters including key business contracts, intellectual property and executive compensation; and through and including succession planning, corporate restructures, mergers, acquisitions and divestitures, and business dissolutions.

She specializes in representing clients in all phases of mergers and acquisition matters, including sales or acquisitions of investment advisory firms, professional and consumer services firms, and companies in a wide variety of other industries.

Jessica also regularly serves as a trusted advisor and outside general counsel to organizations across a variety of sectors.

Jessica presents on trending topics in business law to professionals in the wealth management industry and to other business owners, CPAs, and other lawyers. Jessica is an active member of her community and regularly volunteers for local nonprofit organizations. She currently serves as the President of the Board of Legal Aid of Marin.
