NS Advisory is a strategic finance and ownership architecture practice working with founder-led and mid-market businesses at critical inflection points.

The firm supports businesses as they prepare for capital events, shareholder transitions or periods of structural change, designing the financial, ownership and governance architecture required to support durable growth and institutional investment.

Drawing on experience as both a private equity shareholder representative and CFO in private equity-backed businesses, NS Advisory brings an integrated perspective across finance, tax, legal structuring and governance.

Typical engagements include ownership and capital structuring, management share incentivisation, group simplification ahead of investment, governance alignment and strategic financial architecture in preparation for recapitalisation, institutional investment or succession.

NS Advisory works closely with founders, boards and investors to simplify complex structures, align stakeholders and future-proof businesses for the next phase of growth.

Our Investor Readiness Diagnostic is often the first step. Built from scars, not a checklist, it highlights gaps across finance, structures, governance, people and commercial, and then helps management close them. From there, we advise on shareholder incentive schemes, capital structuring and complex transactions.
