Mr. Jaffe has advised clients across the media and entertainment landscape, with completed transactions including advising Len Riggio in connection with the $683 million sale of Barnes & Noble to Elliot Management, MBS Textbook Exchange on its sale to Barnes & Noble Education, Sony’s $2.2 billion acquisition of EMI Music Publishing, Discovery Communications’ sale of CSS Studios (post production sound company), advising the Special Committee of American Greetings on its $814 million go-private transaction and Hal Leonard on its recapitalization and sale to private equity.
In particular, Mr. Jaffe has extensive experience advising clients in the movie theatre exhibition industry on both buy- and sell-side assignments. Recent clients include MJR Digital Cinemas on its $152 million sale to Kinepolis, Moviehouse & Eatery on its sale to Cinépolis, VSS-Southern Theatres on its $139 million sale of Movie Tavern to Marcus Theatres, Cobb Theatres on its sale to Cinemex, Santikos on the sale of its Houston properties to Regal, Marcus Theatres in the $65 million acquisition of Wehrenberg Theatres, Bow Tie Cinemas in the sale of a collection of theatres in the Northeast to Cinépolis, Trinity Hunt Partners in the sale of Starplex Cinemas for $172 million to AMC Theatres and the sale of Movie Tavern to Southern Theatres.
Other notable advisory roles include advising Office Depot on its $6.3 billion sale to Staples (terminated), Office Depot on its $1.2 billion merger with OfficeMax, DSW on its acquisition of Ebuys (e-commerce retailer), DSW on its investment in Town Shoes (Canadian specialty shoe retailer), and Town Shoes on its sale to Callisto Capital and AIMCO.
