Jason K. Gross is a Member of the Firm’s Corporate Practice Group. He also serves as Co-Chair of the International | U.S. Cross Border Practice Group and the Cannabis Industry Practice Group. As counsel to public and private companies, both national and international, Mr. Gross is actively involved in transactional matters involving acquisitions, dispositions, corporate governance and compliance with the federal securities laws. Mr. Gross acts as outside counsel for several U.S. subsidiaries of a multi-billion dollar, foreign manufacturing conglomerate. In this capacity, he is involved in corporate governance, resolving business disputes, commercial transactions, operational agreements and compliance with U.S. laws.

Mr. Gross has a growing practice representing companies in the pharmaceutical/medical device and gaming/hospitality and European apparel industries in connection with matters ranging from M&A transactions, compliance programs, regulatory hearings, off-label marketing, cross-licensing agreements, distribution agreements and strategic alliances. Mr. Gross has counseled cannabis clients in Arizona, Nevada, New Jersey and Texas on cannabis industry matters ranging from acquisitions and capital raising to corporate structuring and licensing. He has also advised clients on franchise agreements, and the rights and obligations of franchisors and franchisees.

Mr. Gross previously served as Corporate Counsel to Caesars Entertainment Inc., a Fortune 500 company involved in the gaming, lodging and entertainment industries. His work as Corporate Counsel has enabled him to apply practical business knowledge to any legal strategy. While there, he was involved in negotiating closing documents and performing corporate due diligence on major acquisitions, negotiating and drafting joint venture, development, management and consulting agreements and handling regulatory and general corporate matters affecting properties within and outside of the U.S. In connection therewith, Mr. Gross was licensed by the New Jersey Casino Control Commission as a Key Employee. Mr. Gross has represented clients before various gaming regulatory agencies and has experience representing gaming companies, casino vendors and financial institutions in casino-related transactions.
