Candace Jackson

Assistant Secretary of the Board at Society for Corporate Governance

Candace Jackson is currently the Assistant Secretary of the Board at Society for Corporate Governance. Prior to that, they were an Assistant General Counsel - Securities Law at US Foods from April 2016 to June 2018. In that role, they advised the company in connection with its $1.02B initial public offering on the NYSE and secondary offerings of $4.4B in securities by the company's former private equity shareholders. Candace also led the company's SEC and NYSE legal compliance program and assisted the Corporate Secretary with the work of the Board of Directors and all corporate governance matters. Jackson also served as an advisor and partner to the Human Resources, Treasury, Investor Relations, and Finance functions and advised on special projects to analyze and identify solutions to complex business issues.

Jackson then moved to Mayer Brown in September 2018, where they worked as a Senior Associate until February 2021. In that role, they advised public companies, pre-IPO stage companies, and SPAC targets in connection with corporate governance and reporting obligations under the Exchange Act, NYSE and NASDAQ rules. Candace also represented public issuers of securities in M&A transactions as well as issuers and underwriters in connection public offerings and private placements of debt, equity, convertible and hybrid securities, continuously offered debt and equity programs, debt and equity self-tenders, exchange offers, and consent solicitations.

Candace Jackson attended the University of Michigan where they majored in sociology. Candace then went on to earn their Doctor of Law from Emory University School of Law.
