Celeste is a paralegal in the firm’s corporate and securities and fund formation practice who has more than 20 years of experience working as an in-house paralegal, and 3.5 years working as a paralegal at Klehr Harrison. She assists corporate and securities attorneys with matters involving entity formation, state registrations, amendments, mergers, withdrawals, dissolutions, domestications, conversions, preparation of governing documents, structure charts, UCC filings, IRS 8832 and 2553 filings, creating closing binders, and franchise registrations, amendments and renewals.

For the fund formation practice, Celeste is involved with all aspects of fund formation, from inception to final closing, including applying for EDGAR access codes, preparing and submitting Pre-Offer/Pre-Sale filings, Regulation D filings with the Securities and Exchange Commission, Blue Sky filings, reviewing individual and institutional investor subscription materials, preparing and maintaining matrices of investors, 83(b) election filings and creating closing binders.

Prior to joining the firm, Celeste worked as an in-house paralegal at Susquehanna International Group, LLP, Universal Health Services, Inc. and NovaCare, Inc. She received her certification in Paralegal Studies from the Main Line Paralegal Institute in Wayne, Pennsylvania. Celeste is also an active member of the Friends of Laurel Hill & West Laurel Hill Cemeteries.
