Jeff Sears leads engagements focused on IPO readiness, de-SPAC transactions, business combinations, audit readiness, and on-demand technical accounting matters, while also co-leading MorganFranklin’s Technical Accounting Solution Center (TASC). He specializes in helping clients address SEC compliance and reporting matters, challenging financial statement audits, and the application of complex accounting guidance. Jeff also helps companies contemplating an IPO or a merger with a SPAC to identify and execute upon their transformational needs in advance of their planned capital market transaction.

Jeff has over 20 years of combined audit, regulatory, and consulting experience. Prior to joining MorganFranklin, he worked in EY’s Financial Accounting Advisory Services practice, the SEC’s Division of Corporation Finance, and PwC’s external audit practice.

Viewed as a go-to resource for guidance regarding the application of the U.S. Securities and Exchange Commission’s (SEC) rules, regulations, and reporting requirements, Jeff has assisted numerous clients with (1) the preparation of ’33 Act registration statements in connection with IPOs and de-SPAC transactions, (2) the preparation of periodic filings on Form 10-K and Form 10-Q, and (3) various technical accounting and financial reporting matters commonly encountered by publicly-traded companies.

Jeff earned both his B.S. in Accounting and M.S. in Accounting from the University of Virginia, and holds a CPA license in the state of Virginia.
