Allan M. Cohen

Allan M. Cohen, Esq., CPA has a diverse work experience in the fields of law and finance. Allan M. has held various positions in different companies throughout their career.

Allan M. began their career as a Corporate Associate at McDermott, Will & Emery in 2001. After that, they worked as Corporate Counsel at Goldman, Sachs and Co., seconded via Axiom. In this role, they drafted and negotiated technology commercial transactions and served as a legal project manager on major technology acquisitions.

In 2004, Allan joined Axiom Legal as a Senior Counsel, providing outsourced, on-site general counsel services to clients. Allan M.'sareas of expertise include venture capital and private equity transactions, mergers and acquisitions, financing, and commercial contracts. Allan M. primarily focused on the technology and biotechnology industries.

From 2006 to 2013, Allan served as the Head of Legal and Transactions at Auven Therapeutics. Allan M. reported to the CEO of the biotech venture capital firm and oversaw day-to-day legal and transaction operations. Allan M. handled transaction structuring, negotiation, licensing, collaborations, joint ventures, mergers and acquisitions, corporate and fund formation, employment matters, and due diligence.

Allan then became the Head of Legal at ADC Therapeutics, a portfolio company of Auven Therapeutics/Celtic Therapeutics. Allan M. structured the initial formation of ADC Therapeutics and advised on the separation between the licensing and drug development models of Spirogen and ADCT.

In their private law practice from 2013 to 2015, Allan worked as a Consulting General Counsel and Strategic Advisor, providing services such as drafting and reviewing offering documents, advising on the expansion of service offerings, and offering expertise in areas such as private equity/venture capital investment, bio-tech/pharma transactions, start-up structuring and financing, real estate finance and leasing, technology transactions, and M&A.

Allan later joined Axiom again in 2015, this time as a Biotech/Pharma Business Development Transactions Counsel. Allan M. worked on acquisition, divestiture, licensing, strategic alliance, collaboration, co-promotion, and joint venture transactions. Allan M. also advised the commercial team and the Chief Commercial Officer on pricing matters and customer contracting.

From 2017 to 2022, Allan served as the General Counsel and VP Licensing at Bessor Pharma, a virtual pharma company. Allan M. oversaw all drug development activities outsourced by the company and supervised a small core team of drug development experts.

Currently, Allan is the VP of Transactions and Legal Affairs at Novavax and a Senior Advisor for Business Development and Licensing at Bessor Pharma, both starting in 2022.

Allan M. Cohen, Esq., CPA graduated from Upper Dublin High School in 1988. Allan M. then attended Penn State University from 1988 to 1992, earning a Bachelor of Science degree in Accounting. Following this, they enrolled in the University of Virginia School of Law and obtained a Juris Doctorate degree in Law from 1994 to 1997. In addition to their degrees, Allan is also a Certified Public Accountant.
