Adam M. Kessler focuses his practice on real estate development/leasing projects and estate planning as well as a wide range of legal matters including litigation, mergers and acquisitions, formation and structuring of business entities, and general corporate transactions.
Adam has extensive experience in the sale, acquisition, development and leasing of residential, retail, office, industrial and other commercial projects. He has represented clients in complex transactions involving commercial properties located in several states, and projects involving the utilization of tax credits and public and quasi-public funding. He also has represented institutional lenders as well as commercial borrowers in connection with the financing of commercial and residential properties.
He advises established and emerging businesses on the various issues faced throughout a company’s life cycle, including formation, capitalization, equity investment, commercial transactions, debt financing, acquisitions, divestitures and succession planning. Adam has counseled numerous parties through the formation and structuring of new entities and ventures, and has experience in drafting and negotiating limited liability company agreements, partnership agreements, buy-sell agreements and other organizational documents.
Adam works extensively with individuals on estate planning, tax planning and probate matters of all sizes. He counsels clients on the various wealth preservation strategies which are available to high net worth individuals. He has also represented beneficiaries or fiduciaries in complex estate contests and trust disputes.
