Luke Valentino

General Counsel at Sears

Luke Valentino is currently the General Counsel at Sears. Prior to this role, they served as the Divisional Vice President, Deputy General Counsel & Corporate Secretary for Sears Holdings Corporation from July 2017 to March 2019. In this role, they were the primary support on over $1.5B of debt financings and numerous strategic M&A transactions. Luke also handled all public company corporate secretary duties for more than 50 Board and Committee meetings over a 12-month span. Valentino was a critical participant in all legal and transactional aspects of Sears Holdings’ bankruptcy, including a frontline role in negotiation and documentation of the sale of substantially all assets to Transform Holdco LLC.

Some of Valentino’s previous experience includes serving as the lead M&A attorney on three sale transactions pursued simultaneously by a majority stockholder, under a process overseen by Special Committee of Board of Directors. Luke has also presented related party transactions to audit subcommittee for approval, prepared proxy statements for annual meeting of stockholders, and organized and conducted annual meetings. Additionally, they have performed primary legal review of 10-Ks and 10-Qs, and prepared 8-Ks. Prior to their role at Sears Holdings Corporation, Valentino served as a Professional Support Lawyer at Mayer Brown from October 2016 to July 2017.

Luke Valentino attended Northwestern University Pritzker School of Law, Washington University in St. Louis, and Illinois Mathematics and Science Academy. Luke is certified by the State of Illinois and admitted to the Bar.
