Steven L. Wasserman

Steven L. Wasserman is resident in the Sills Cummis & Gross New York office. He advises issuers and underwriters on all areas of corporate finance; public and private securities offerings, including equity offerings and convertible, investment grade and high yield debt offerings by US and foreign issuers; debt and equity tender offers and repurchases and consent solicitations; mergers and acquisitions; joint ventures and strategic investments.

Mr. Wasserman regularly assists clients in connection with SEC reporting and compliance, including annual reports on Form 10-K and 20-F, quarterly reports on Form 10-Q, current reports on Form 8-K, Schedules 13D, 13e-3 and T-O, Section 16 reporting, and proxy statements for annual and special meetings of stockholders (including in connection with acquisitions, issuance of shares requiring stockholder approval under NYSE and NASDAQ listing standards and other significant transactions).

He also advises companies and their boards of directors and special committees as to matters of corporate governance, including advising with respect to NYSE and NASDAQ corporate listing standards, Sarbanes-Oxley Act of 2002 and related rules and regulations and Delaware corporate law.

Prior to joining the Firm, Mr. Wasserman was a Partner in the New York office of DLA Piper LLP (US).
