Claire Bruce

Claire Bruce is the Co-Founder, COO & General Counsel at Vivun. Prior to Vivun, they were the Director Of Legal Affairs at Ariat International from May 2013 to October 2019. As the first corporate counsel and head of legal at Ariat, they established the in-house legal department and oversaw all legal matters for the company. Claire takes a practical approach to "lawyering," always keeping business objectives and strategic focus top-of-mind.

Some of their key responsibilities included: structuring, drafting, and negotiating a broad range of commercial agreements; conducting legal reviews and advising business groups regarding regulatory matters; owning management, including prosecution and enforcement of, an extensive international intellectual property portfolio; managing all litigation matters; reviewing and advising on all business transactions; administering all aspects of global equity program including amendments to incentive plan; analyzing and selecting appropriate levels of insurance for company; filing and managing claims; handling all immigration law matters; overseeing social compliance to ensure integrity of product manufacturing processes; partnering with and advising human resources team on employment matters; handling all US and international data security matters, including cyber security policies, procedures and GDPR; drafting and negotiating Inter-company agreements and loan facilities; responding to audit requests; developing and providing legal training for internal business units (including marketing, merchandising, sales, customer service, product design and e-commerce) tailored to each department’s activities; drafting and maintaining corporate minute books for the corporation and foreign operating subsidiaries; reviewing marketing materials to ensure compliance with all applicable laws, rules and regulations. Providing counsel on claims substantiation, cause marketing, sweepstakes and media releases; drafting and maintaining form agreements and implementing relevant updates on an ongoing basis; setting, tracking, and overseeing legal budget. Evaluating and advising on cost savings or new efficiencies.

Claire Bruce has a J.D. from Santa Clara University School of Law, a B.S. in Biology from UC San Diego, and a minor in Literature from UC San Diego.
