Microsoft has given its chief executive, Satya Nadella, even more responsibility by unanimously electing him as its new Board Chair. John W. Thompson, who is relinquishing his position to Nadella, will continue on as Lead Independent Director.
Among Nadella’s new responsibilities are setting the agenda for the board, elevating the new strategic opportunities, and identifying key risks and mitigation approaches for the board’s review.
Thompson will provide input on behalf of the independent directors on board agendas, call meetings of the independent directors, set agendas for executive sessions, and lead performance evaluations of the CEO.
Nadella initially took over as Microsoft CEO in 2014 and has bet the company’s future on its Azure cloud-computing business, which has seen strong growth. In 2020, Microsoft’s server products and cloud services revenue increased by $8.8 billion or 27% compared to 2019, largely driven by Azure’s revenue, which grew 56%.
This is the second major change to the company’s board of directors in the past year as in 2020 Bill Gates stepped away from the company he helped create amid an investigation into an alleged affair he had with an employee.
