VP Corporate Counsel

We are looking for a Corporate Counsel to serve as a member of the executive team, accountable for the company's global legal function. You will set the overall philosophy and strategy for all legal matters and ensure that practices, policies, and business activities of the company fall within the bounds of the company’s legal posture. You will also provide counsel and advice to executives, directors, managers, and other leaders concerning the laws that impact their business or functional areas. In this role, you will leverage your in-depth understanding of the business and legal best practices to create an organization that enables the company to maintain a world class workforce and meet its financial and business goals. 

Responsibilities and Duties

• Drive strategic, high-impact legal initiatives, setting direction for complex projects and influencing company-wide decision-making. Provide leadership and expertise to facilitate cross-team collaboration and implement solutions for complex legal challenges
• Advise internal clients on legal risks, complex agreements, approval processes, company policies, intellectual property, and strategic decision-making
• Ensure compliance with US and international laws surrounding privacy, data protection, employment, and intellectual property
• Represents the company as general counsel with external organizations and regulators
• Organizes and directs activities to protect the company from a legal and regulatory standpoint by providing strategic oversight of policies and procedures required by federal and state, human resources, privacy, and other applicable laws
• Oversees the management of outside counsel activities Operational Management.
• Oversees the legal function, ensuring that all legal matters are in alignment with our mission, values, and business objectives
• Review, negotiate, and approve complex contracts and agreements, vendor contracts, subcontractor agreements, and strategic partnerships, ensuring alignment with company policies and objectives
• Oversee the management of intellectual property assets, including trademarks, patents, and proprietary information, and implement strategies to protect and enforce intellectual property rights
• Lead legal due diligence efforts in mergers, acquisitions, and partnerships, assessing legal risks and liabilities and advising on transactional matters
• Ensure compliance with corporate governance requirements, including board meetings, corporate filings, and adherence to corporate policies and procedures

Qualifications and Skills

• Juris Doctor or equivalent
• Admission to at least one US state bar
• 10+ years of relevant experience with subject matter expertise in contract creation and negotiation and commercial procurement
• Collaborative team player with strong project management and interpersonal communication skills for independent and group projects
• Experience managing and building legal teams in a global organization 
• Resourceful problem-solver with strong business acumen
• Compelling communicator across written, verbal, and presentation formats
• Proficient in financial and workplace technology, including project management and team collaboration software
• Experience drafting and negotiating complex commercial agreements and terms and conditions
