Job description

We are currently seeking a Lawyer with experience with mergers and acquisitions or equity capital markets to work with a sophisticated boutique investment bank. Ideal candidates will have excellent transactional and business advisory skills and will be looking to transition in-house from a large law firm environment. This opportunity enables you to leverage your experience and expertise to counsel and collaborate with some of the most innovative and dynamic minds in the industry while developing a diverse set of skills. This role is set to begin in September, 2024 and can accommodate those with notice periods. 

Responsibilities:

  • Support the business advisory team at a sophisticated boutique investment bank on mergers and acquisitions and other corporate transactions.
  • Draft, negotiate, and advise on deal documentation including engagement letters, non-disclosure agreements, opinion letters, disclosures, and other related agreements as necessary.
  • Assist with the fairness opinion processes including reviewing board presentations, drafting fairness opinion letters and related disclosures and attending internal fairness committee meetings.
  • Counsel business teams in relation to cash confirmations for Takeover Code deals.
  • Provide legal and compliance support on ad-hoc projects to ensure compliance with  upcoming legal and regulatory changes (for example GDPR, Schrems II, IFPR, ESG).

 

Qualifications: 

  • 7+ years of experience in mergers and acquisitions and/or equity capital markets, ideally within an AM200 or Magic Circle/Silver Circle firm or in-house with an investment bank.
  • Experience working on public and private corporate transactions, including mergers and acquisitions and/or equity capital markets transactions. Experience with corporate restructuring and takeovers extremely beneficial.
  • Sound legal judgment and an ability to provide practical solutions to manage the legal risks associated with business initiatives.
  • Strong analytical and problem-solving skills with indisputable attention to detail and ability to make and implement decisions.
