Melissa M. Gleespen

Melissa M. Gleespen is currently the VP, Corporate Secretary & Chief Compliance Officer at Consumers Energy. Melissa has held this position since March of 2013. Prior to that, they worked at Owens Corning from August of 2007 to March of 2013 as their Law Director and Assistant Corporate Secretary. In this role, they advised the CEO, CFO, GC, and Board of Directors on disclosure and governance. Additionally, they supported the Board of Directors by preparing meeting agendas, materials, and minutes; and also served as the legal representative for the Executive Committee. Gleespen managed the legal aspects of SEC reporting and corporate governance, and coordinated offerings of debt and equity securities and debt tenders. Melissa also oversaw the preparation of 10-Ks, 10-Qs, 8-Ks, Section 16 reports, registration statements, proxy statements, press releases, earnings guidance, investor presentations, and other information material to the investment community. Furthermore, Gleespen chaired and managed the Disclosure Committee, and planned, coordinated, and managed the Annual Meeting of Stockholders. Melissa also trained management to understand and comply with insider trading/tipping and Regulation FD rules by presenting informative and fun training materials. Additionally, they oversaw stock buybacks, credit facility and trade receivables securitization facility; supported External Reporting, Treasury and Investor Relations; and advised on disclosure, securities, and corporate law issues in M&A transactions. Gleespen also served on the Risk Management Committee, Stockholder Engagement Team, Alloy Strategic Management Committee, and other cross-functional teams. Melissa oversaw governance and corporate compliance of Owens Corning's 120+ subsidiaries; prepared responses to SEC comment letters; supported charitable foundation and political action committee; managed outside counsel and budget; and mentored peers and junior Law Department and Finance employees.

Melissa M. Gleespen earned their Juris Doctor from Northeastern University School of Law and their Bachelor of Liberal Arts in Extension Studies from Harvard Extension School.
