Position Overview:

Diligent is seeking a talented, collaborative, and experienced in-house commercial lawyer for the role of Assistant General Counsel to support our Commercial and Product teams, with a focus on German, Austrian, and Swiss markets. As a member of the global legal team, you will primarily provide legal support and advice to sales, customer success, product, product marketing, marketing, and other teams across EMEA. The role will prioritize drafting and structuring contracts with clients, potential clients, and vendors, while also addressing various corporate, commercial legal, and data protection matters as they arise.

Key Responsibilities:

  • Review, draft, and negotiate a wide range of commercial contracts, including SAAS, service level/support agreements, consultant agreements, data protection agreements, and vendor agreements, ensuring they meet legal, business, operational, and technical requirements.
  • Take ownership of the entire client contracting cycle, from initial draft to finalization and signature, leading contract negotiations to timely and successful completion.
  • Assist with corporate governance and entity maintenance within DACH.
  • Advise Product and Engineering teams on issues related to the development and rollout of new products and features throughout the product development lifecycle for Diligent’s governance, risk, and compliance offerings.
  • Stay updated on European and international laws and regulations.
  • Identify legal issues in product development plans and collaborate with relevant internal clients to devise solutions and mitigate risks.
  • Establish relationships with key stakeholder departments, including Sales, Customer Success, Marketing, Finance, Human Resources, Product, Engineering, and Security, acting as a proactive and strategic business partner to company leaders.
  • Maintain meticulous attention to detail and provide timely legal support in a high-volume, fast-paced environment to help the Diligent team navigate a complex and ever-changing regulatory landscape.

Required Experience/Skills:

  • 8–10 years PQE.
  • Fluency in German and English is required.
  • Experience in reviewing and drafting contracts is essential. Multinational experience in EMEA with strong data protection skills is highly desirable.
  • Experience in IT, procurement, software licensing, or SaaS is advantageous, as is familiarity with European regulations applicable to tech companies (e.g., DORA, DSA, EBA Guideline, AI Act, etc.).
  • Excellent interpersonal skills with the ability to engage comfortably at all levels with internal clients, both within EMEA and internationally.
  • Highly motivated, strategic, detail-oriented individual with the ability to proactively manage a heavy workload and demonstrate excellent analytical abilities.
  • Proficiency in Microsoft Office (Word and Outlook) is required.
