EXPERIENCE AND QUALIFICATIONS:

  • Prior experience working at a full-service law firm, a sophisticated boutique firm, or in-house with a mid-size entrepreneurial company a preference
  • Experience in mergers & acquisitions, corporate reorganizations, contract law and other general corporate law
  • Experience in the automotive industry a significant plus
  • Experienced in US and UK Law a plus
  • Fully qualified to practice law, including admitted to the Bar in the State of Florida
  • First class written and spoken English language skills, consistent with drafting and negotiating complex, nuanced English language agreements
  • Experience with SEC Reporting, including but not limited to; Supporting the preparation and filing of various reports with the SEC on Forms 10-K, 10-Q, 8-K, and 11-K and other disclosures (press releases, earnings release, investor relations presentations) a plus

KEY TASKS OF THE IN-HOUSE COUNSEL

  • Provide strategic legal advise on best practices, as well as provide legal support across all functional areas of the Company;
  • Drafting, preparing and reviewing contracts, which may include vendor, customer, license, referral and/or joint venture agreements;
  • Drafting, preparing and reviewing corporate resolutions, compliance filings, such as FINCEN beneficial ownership flings, and maintain minutes of Board meetings, as well as manage corporate records and governance for a global network of affiliates;
  • Support the Corporation’s compliance with applicable securities laws and related laws and regulations, including Regulation FD, Regulation G, stock exchange requirements, insider trading laws and equity incentive plan matters;
  • Support M&A transactions and strategic investments, including but not limited to reviewing and drafting related documents from pre-signing to post-closing;
  • Assists with and provides advice and counseling to HR function on employment law matters;
  • key terms and covenants, as well as implementing controls and process to maintain ongoing compliance;
  • Efficiently direct the workflow of outside legal counsel on matters requiring external expertise or additional legal support/capacity.
  • Collaborate with other departments, including accounting, finance, tax, treasury, investor relations, communications and HR;
  • Provides corporate legal support and other related duties as requested, as well as general administrative items such as maintain corporate legal files, data rooms and so forth.
