We’re looking for an

Assistant Company Secretary

Based in London and reporting to the Deputy Company Secretary, Hamilton Global Specialty, and indirectly to the Head of Legal, this role will be responsible for the provision of company secretarial and governance services to Hamilton Managing Agency Limited and its syndicates under management and other associated UK Group entities and wider support to Hamilton Insurance DAC (HIDAC) based in Ireland.

This role will support and work closely alongside the Legal and Compliance functions to ensure good corporate governance standards are met and that HMA is compliant with the Companies Act 2006 and other relevant statutory requirements.  This also includes advising the Deputy Company Secretary and Head of Legal on changes in legislation affecting corporate governance, best practice and taking the lead role on the implementation of continuous improvements to governance processes and the Secretariat function.

Hamilton Global Specialty is our multi-platform, specialty insurer operating primarily through a Lloyd's Syndicate and Dublin operating company with a managing general agency in the US.

What you will do

  • Deliver timely and best practice company secretarial support for Boards and Committees including:
    • meeting planning, agenda setting, maintenance of the forward planner
    • ensuring the timely distribution and publication of high-quality materials
    • attendance at Committees and ad hoc meetings
    • producing high quality minutes within expected timescales; and
    • tracking to completion actions arising from meetings
  • Assist in advising on and facilitating compliance with relevant statutory and regulatory company secretariat and governance requirements
  • Support and coordinate governance enhancement projects.
  • Maintain statutory registers
  • Ensure policies, standards and governance documentation (including Terms of References) are appropriate, effectively communicated, continuously reviewed and updated to reflect internal/external changes
  • Support and coordinating director training programme and Board effectiveness reviews
  • KYC support to other functions
  • Contributing to the development of company secretarial practices, and advice to the business on the impact of company secretarial issues
  • Monitor department’s email inbox
  • Build stakeholder relationships

What you require for the role

  • Experience working in a similar level role within a (re)insurance company or in a financial services/regulated environment. A company secretarial qualification would be advantageous

  • Minute taking capability, of a consistently high-quality standard and conducive to serving a regulated entity is a key requirement

  • High-level of attention to detail and accuracy

  • Excellent interpersonal skills and experience of communicating effectively at senior management and executive level and with third parties and external stakeholders

  • Strong knowledge of corporate governance principles and interest in emerging developments

  • Proactive and a desire to improve existing governance practices and innovate, with an ability to work on own initiative including driving high quality governance standards, via credible and practical experience

  • Excellent written and oral communication skills

  • Ability to prioritise workload and remain calm under pressure

  • Previous experience with filing statutory returns with Companies House UK

  • Knowledge of Diligent Entities Secretarial software and Diligent Board books, or comparable software
