Jared S. Richardson

Jared S. Richardson is the current Vice President and Secretary at Trinity Industries. Jared has also previously served as the Assistant Secretary and Senior Counsel at Energy Future Holdings Corp. from September 2004 to December 2009. In this role, they were responsible for representing the company in multiple initiatives in connection with its $45 billion leveraged buyout (LBO) by private equity consortium. This included scenario planning and decision guidance for proxy solicitation efforts, proxy statement preparation, shareholder meeting planning, review and drafting of internal and external communications, and extensive subsidiary restructuring. Additionally, they drafted and reviewed materials for SEC filings concerning corporate governance and related matters, including executive compensation disclosure requirements.

Richardson has also represented the company in various corporate transactions, including the formation of a joint venture and the sale of non-core businesses. Furthermore, they assisted in recruiting efforts that added four independent directors to the company’s Board of Directors. In terms of subsidiary management, they oversaw more than 140 subsidiaries and developed subsidiary management policy. Jared even led a project team that identified and eliminated over 30 unnecessary corporate entities in one year. Lastly, they have also drafted or revised numerous corporate policies, such as corporate governance guidelines, insider trading policy, and executive stock ownership guidelines.

Jared S. Richardson has a J.D. from Harvard Law School and a B.A. in Political Science from Brigham Young University.
