T. Andrew Smith

Andy Smith is President and Chief Executive Officer of Vigilant Health and has over 30 years of experience in health care, mergers and acquisitions, real estate, capital markets transactions, and corporate finance. Mr. Smith served as the Chief Executive Officer of Brookdale Senior Living, Inc. (NYSE) from 2013 until 2018, as President from 2016 until 2018, and as a member of the Board of Directors from 2014 until 2018. From 2006 to 2013, Mr. Smith served as Brookdale’s Executive Vice President, General Counsel, and Secretary. In addition to his role in managing the company’s legal affairs, Mr. Smith was responsible for the management and oversight of the company’s corporate development functions (including mergers and acquisitions, and expansion and development activity); corporate finance (including capital structure, debt and lease transactions, and lender/lessor relations); strategic planning; and risk management.

During Mr. Smith’s tenure, Brookdale was the largest operator of senior living communities in the United States, with revenues of approximately $4.75 billion. The company operated approximately 1,000 communities, with a unit capacity in excess of 100,000, with 77,000 employees across 46 states. The company also operated a large ancillary services business, comprised of home health, outpatient therapy, and hospice service lines. The home health business was the 5th largest in the United States, with revenues of approximately $450 million, and an average daily census of approximately 15,000.

Prior to joining Brookdale, Mr. Smith served as a member of Bass, Berry & Sims PLC’s corporate and securities group and as chair of the firm’s health care group. Mr. Smith previously served as a member of the board of directors of the Nashville Health Care Council, Argentum, and the National Investment Center for the Seniors Housing & Care Industry (NIC), and as a member of the executive board of the American Seniors Housing Association (ASHA).

Mr. Smith is currently a member of the Board of Directors of Northstar Healthcare Income, Inc, a public non-traded healthcare real estate investment trust. He is also a member of the Board of Managers of Physician Housecalls LLC, an in-home provider of primary care to seniors, and a member of the Council of Council Capital, a health care private equity firm. Mr. Smith received his Bachelor of Arts, cum laude, from Vanderbilt University, and his Juris Doctor from Southern Methodist University School of Law, where he was a member of Order of the Coif.
