JOB TITLE                      Vice President, Business Development

REPORTS TO                 SVP, Business Development

KEY WORKING RELATIONSHIPS

Internal:     Licensing teams, Business and Market Research, Legal Department.

External:    Companies and individuals that own patents, funders, outside counsel, consultants, and brokers.

POSITION SUMMARY

The Vice President, Business Development, drives new and ongoing third-party relationships which results in new patent acquisitions, licenses, and joint ventures for WiLAN. The Vice President, Business Development will work with WiLAN’s key stakeholders to plan and execute a strategy to capitalize on existing relationships and build new business associations that lead to successful patent acquisitions.

ESSENTIAL SKILLS  AND QUALIFICATIONS

·         15+ years of industry related experience in developing, negotiating, and transacting patent purchase and licensing agreements.

·         University Degree in Commerce or University Degree in Science or Engineering in one of the following disciplines: Electrical, Electronics,    Mechanical, Chemical or Biology.

·         Interest in developing expertise in new technical areas

·         Strong knowledge of US patents and patent law

·         Strong interpersonal skills in working with engineers, lawyers and executive management

·         Have an existing strong network of relationships with contacts who own patents.

·         Proven ability to develop and maintain relationships with potential partners and clients

·         Ability to create innovative solutions to complex patent transaction challenges

·         Ability to think strategically to develop and assess ideal solutions for all stakeholders

·         Team player able to prioritize and multi-task on multiple high-priority projects

·         Ability to work independently and deliver to schedule

·         Financial acumen with ability to analyze and characterize patent purchase and licensing economic models

·         Fluent written and spoken English, other language skills considered a plus (e.g. German, Japanese, Chinese, Korean)

·         Proven ability to present to, and persuade, senior executives to adopt a point of view

·         Ability to bring complex negotiations to a successful close

·         Willingness and ability to travel worldwide (up to 30%)

KEY RESPONSIBILITIES

·         Identify, develop, and penetrate new business opportunities that result in successful patent acquisitions .

·         Work closely with WiLAN stakeholders to characterize, structure, and execute new business opportunities.

·         Identify and propose new acquisitions and opportunities by researching and contacting potential sellers and partners.

·         Understand and communicate WiLAN’s business model and value to prospective business partners.

·         Screen potential business deals by analyzing markets, deal requirements and financials; evaluate, present, and discuss options internally.

·         Develop negotiating strategies and positions by understanding how new opportunities align with WiLAN strategies and operations;        examine risks and potentials; evaluate partners' needs and goals.

·         Champion opportunities and create buy-in with internal stakeholders and executive management.

·         Close new business deals by coordinating requirements, developing, and negotiating contracts and integrating contract requirements with  business operations.

·         Assist with development and execution of licensing strategy with internal licensing teams including engaging with potential consultants,      outside counsel and litigation funders.

·         Protect WiLAN confidential information.

·         Update job knowledge by participating in educational opportunities such as conferences; reading professional publications; maintaining      personal networks; participating in professional organizations.

·         Enhance WiLAN’s reputation by accepting ownership for accomplishing new and different requests; exploring opportunities to add value.
