Job Profile:

This is an opportunity to be a key contributor in a rapidly growing software consolidator. To support our growth, you will help lead a team of M&A Associates/Analysts and be responsible for scaling processes around due-diligence and M&A execution. The design of the role will be such that the selected candidate is an integral part of the entire Banyan M&A team, working directly with Associates, Directors, and VPs across the globe in a high-energy and collaborative environment. Near term goals include getting up to speed on the Banyan acquisition strategy, overseeing the development and growth of a young and motivated team of Associates/Analysts, understanding the role played by the M&A team on transaction execution, and helping to build best in class M&A processes for supporting financial and operational due diligence and opportunity review on potential acquisition targets.

Responsibilities:

  • Overseeing and managing all aspects of the merger and acquisition process from start to finish, i.e., creating meaningful and insightful data-books to the final price float and purchase structure for a target company.
  • Review and analyze confidential financial & non-financial information on potential acquisitions and create investment summaries for presentation to Banyan’s management team and board utilizing Banyan’s KPIs and criteria.
  • Build, review, and signoff on the standardization of high quality and tailored quality of earnings reports (QOE) to specify key issues such as normalized earnings and potential deal risks and opportunities.
  • Participate in due diligence for potential Banyan acquisitions, analyzing in-depth operational aspects of businesses and performing complex analyses; including helping in developing and implementing strategies to realize the maximum value from each acquisition through price and deal structuring.
  • Help in overseeing a rapidly growing and high performing team of M&A Analysts and Associates to groom and help coach them through complex and meaningful opportunities.
  • Get involved in creating financial models to evaluate the financial impact of the proposed deal. This can include analyzing various financial scenarios and sensitivities.
  • Working closely with the senior leadership in defining streamlined processes to increase efficiency of the function, identifying laggard processes, and implementing thoughtful and practical ways to boost performance.

Qualifications for success:

The ideal candidate for the role will possess the following characteristics:

  • 5 – 7 years in M&A / Corporate development, preferably working with corporate finance in an investment bank, professional services firm, or a boutique advisory firm with a track record of working on buy-side.
  • Experience reviewing and building quality of earnings reports and building compelling stories out of a myriad of transactional data.
  • The role would require strong numerical, financial, and modelling skills based on a well-developed understanding of financial statements. You will have sound commercial judgment and an ability to generate creative solutions to problems. 
  • Highly motivated with a strong and proven interest in the fields of private equity, tech entrepreneurship and finance.
  • As a minimum, a reputable bachelor’s degree in finance, and a professional designation (ACA/ACCA, CFA) being an asset.
  • Financial literacy and ability to build presentations / Information Memoranda for executive team/board-level audiences.
  • Experience in leading a team of young and dynamic individuals, helping them ramp up quickly and review their outputs.
  • Advanced English written and verbal communication skills.
  • An effective communicator, a confident leader equipped with strong people management skills and a genuine passion to make things happen in a dynamic organization.
