Job Description

Position: M&A Lead

Location: LATAM

Reports to: VP Strategic Finance

We are seeking a seasoned M&A Lead to join our dynamic team and drive our strategic in-organic growth initiatives.  

Key Responsibilities: 

  • Strategic Leadership: Co-lead Incode’s M&A strategy to enhance our technology offerings and expand our market footprint in the USA, LATAM, and EMEA regions.
  • Collaboration: Partner with the CEO and Senior Leadership team to identify and assess potential M&A opportunities that accrue strategic value.
  • Due Diligence: Conduct comprehensive due diligence on potential investments, ensuring alignment with our strategic goals and risk management criteria. This role plays a pivotal role in coordinating all departments from engineering, customer success, and finance to run Due Diligence and integration efforts.
  • Market Analysis: Analyze market trends and competitive landscapes to identify strategic opportunities for growth and expansion as well as comparable market multiples and discounts.
  • Execution: Oversee the entire M&A process, from initial evaluation to negotiation and integration of acquired entities.
  • Stakeholder Management: Maintain strong relationships with internal and external stakeholders, including investors, advisors, bankers and potential acquisition targets.
  • Fundraising: Co-lead Equity fundraising efforts – Presentation decks, analysis, information requests, term sheet negotiations, etc.
  • Board Meeting Presentations: Craft the narrative together with EVP of Finance and CEO, and execute on coordinating teams on tight deadlines. 

 

Qualifications: 

  • Experience: Minimum 3 years of experience in M&A in investment banking, or corporate development, with a proven track record of successful transactions.
  • Education: Bachelor's degree in finance, Business Administration, or a related field. MBA or relevant advanced degree preferred.
  • Skills: Strong analytical, storytelling, negotiation, and project management skills.
  • Excellent communication and interpersonal abilities. English M&A proven track record 
  • Industry Knowledge: In-depth understanding of the technology sector and market dynamics in the USA, LATAM, and EMEA regions. - nice to have 
  • Leadership: Demonstrated ability to lead cross-functional teams and manage complex projects.
