The Opportunity That Awaits You:     Are you ready to take your legal career to the next level with PROCEPT BioRobotics?   As a Corporate Counsel, you will play a vital role in providing expert legal guidance on a wide range of securities compliance, corporate governance, and commercial transactions. Reporting to the VP, Deputy General Counsel, you will engage with cross-functional teams, including Sales Operations and Commercial, to help drive our company’s success. What Your Day-To-Day Will Involve:

  • Oversee and ensure compliance with federal securities laws, regulations, and reporting requirements, including the preparation and review of SEC filings such as annual proxy statements, Form 10-K, Form 10-Q, and Form 8-K.
  • Provide legal support for corporate transactions, including corporate finance and strategic transactions.
  • Advise on corporate governance matters, such as board and committee meetings, stockholder meetings, and compliance with governance standards.
  • Advise on equity plans, stock administration, and related policies.
  • Review, draft, negotiate, and interpret various commercial agreements, including sales agreements, licensing agreements, vendor contracts, marketing agreements, NDAs, and more.
  • Manage the complete life cycle of company contracts, in close coordination with the Sales Operations and Commercial teams.
  • Assist in PROCEPT's legal work in areas such as intellectual property, employment, privacy, and compliance as a medical device company.
  • Maintain and organize company templates and contract repositories.
  • Track and update the contracts database and improve contract management processes.

The Qualifications We Need You to Possess:

  • Juris Doctor degree and active bar membership in California.
  • 3-5 years of experience in a nationally recognized law firm or a combination of law firm and in-house legal experience.
  • Demonstrated experience with capital markets transactions or public company reporting.
  • Basic understanding of the UCC and commercial transaction structures.
  • Strong critical thinking skills and the ability to retain and apply complex work directions.
  • Excellent communication and interpersonal skills, and ability to handle confidential matters with discretion.
  • Self-starter with a proven ability to thrive in a high-paced environment and manage multiple projects while meeting deadlines.

The Qualifications We Would Like You to Possess :

  • Experience with a medical device or life sciences company.
  • Contract negotiation experience.
  • Familiarity with global data privacy laws, including HIPAA, GDPR, and CCPA.
  • Knowledge of intellectual property law, technology transactions, or licensing.
  • Understanding of healthcare regulatory matters, including reimbursement, anti-kickback, and sunshine act reporting.
