Job Overview

Sol-Millennium is seeking a Corporate Legal Counsel to serve as a proactive, strategic business partner on a wide variety of legal matters, including reviewing and drafting agreements, negotiating contracts with customers and vendors, managing corporate governance matters, and maintaining trademarks. The Corporate Legal Counsel will work directly with senior management and business units in North America as well as globally to ensure that the company adheres to all applicable laws and regulations.

This role is located at our global HQ in downtown Chicago and operates on a hybrid schedule.

Responsibilities:

  • Draft, review, and negotiate various commercial and transactional agreements including sales agreements, vendor contracts, MSAs, NDAs, and SaaS agreements.

  • Provide persuasive, diplomatic, practical, creative, and legally compliant advice to promote the business’s best interests.

  • Strategically and cost-effectively manage and partner with outside counsel.

  • Identify and assess legal and business risks to the company.

  • Develop legal strategies for various types of disputes.

  • Partnering in Merger and Acquisition deals and legal due diligence

  • Conduct legal and factual research, analysis, and reporting.

  • Ensure legal and operational compliance of the company’s market partners.

  • Serve as legal advisor to various internal departments and committees.

  • Maintain and protect company trademarks and intellectual property.

  • Oversee corporate governance matters and ensure compliance with corporate policies.

  • Public company filings and board oversight

  • Stay updated on relevant legal developments and proactively communicate potential impacts to the business.

Required Qualifications:

  • 8-10 years of relevant experience at a law firm and/or in-house.

  • Juris Doctor (J.D.) from a law school accredited by the ABA.

  • Member of a state bar in good standing.

  • Demonstrated ability to thrive in a rapidly changing environment and to navigate ambiguity with ease.

  • Ability to manage complex matters with a significant degree of independence.

Preferred Qualifications:

  • Prior experience with healthcare, manufacturing, and/or distribution.

  • Experience in one or more of the following: commercial transactions, litigation, contracts, employment law, or corporate governance.

  • Experience with international legal coordination

  • The ability to educate non-attorneys on relevant legal concepts.

  • Prior public company experience

  • Strong analytical and problem-solving skills with a business-oriented approach.
