Heather D. Rahilly

As Co-Chair of the firm’s Private Equity Practice Group and a Partner in the Mergers and Acquisitions Practice Group, Heather has extensive experience providing valuable counsel to clients and executing numerous buy-out, divestiture, merger and investment transactions across many different industries.

Heather focuses her practice on corporate and business law, with a concentration in mergers and acquisitions and strategic investments. She has extensive experience in middle-market M&A on both the buy-side and sell-side in connection with domestic and international corporate acquisitions and divestitures, private equity investments and co-investments in both public and private companies, carve-outs, venture capital and growth equity financings, recapitalizations, leveraged buyouts, leveraged dividends and joint ventures.

Heather has experience representing large, well-established, as well as early stage, public and private companies, independent and committed private equity funds, asset portfolio managers, hedge and venture funds in negotiating and structuring debt and equity transactions, mergers and acquisition transactions, partnership relationships, joint venture and strategic alliance agreements, supply chain and outsourcing agreements and technology licensing agreements. She also represents corporations and portfolio companies with respect to general business and corporate governance matters, including advising boards of directors.

Heather’s clients operate in a wide variety of industries, including consumer products, retail, media and marketing/communications, professional services, healthcare, financial technology and financial services, automotive, data analytics, manufacturing and industrials.
