Jeremy Ben-David

Jeremy Ben-David is a Principal and the General Counsel of BAS Holdings, LLC. At BAS Holdings, he develops and leads corporate legal strategy to promote and protect the company’s matters, while retaining a commercial focus to steward deals ranging from $5M to $100M from origination to diligence, structuring, and execution. He has also been a key figure in helping the company successfully raise a cumulative $500M of capital from institutional and high net-worth investors, and led the launch of a $100M private fund to acquire solar investment tax credits.

Concurrently, Jeremy serves as the Chief Legal Officer of Sol-REIT, a pioneering firm that is the first solar mortgage REIT in U.S. history. Sol-REIT provides innovative construction-to-permanent financing for middle-market solar developments across the U.S. After initially overseeing the business’s formation and capital raise, he currently manages all aspects of legal strategy, diligence, advisory, and regulatory compliance for the company to help structure and execute complex financing transactions. He is also a key partner to investment and operating teams across the transaction lifecycle to help manage and mitigate risk, as well as support value creation activities to realize financial and strategic objectives.

Previously, Jeremy co-founded and was the managing partner of AXS Law Group, PLLC, a Miami-based full-service boutique law firm that grew to 16 attorneys prior to his departure. While at AXS Law Group, Jeremy headed the firm’s real estate practice group and was co-lead of its corporate law practice group. He has worked with businesses through all stages of their lifecycle from formation through to the growth, liquidity/monetization, and exit and has structured, negotiated, and closed transactions in the hospitality, real estate, finance, and media industries as lead counsel.

Jeremy was also Corporate Counsel at Bayview Asset Management, an investment firm focused on investments in mortgage and consumer credit, including whole loans, asset-backed securities, mortgage servicing rights, and other credit-related assets. Jeremy spearheaded legal structuring and contract negotiation for multiple acquisitions of mortgage servicing rights, as well as the purchase and sale of pools of performing and distressed loans. In addition, he managed a team of paralegals and support staff and was also the go-to resource on matters in labor and employment, legal structure, leasing, and loan servicing

Jeremy initiated his legal career in the Real Estate practice group of Bilzin Sumberg, a Miami-based full-service firm with 100+ attorneys. At Bilzin Sumberg, he was engaged on a wide range of legal advisory mandates for the distressed real estate industry including loan workouts, forbearance agreements, and the acquisitions of non-performing loan portfolios. Over the course of his tenure, he helped to structure and close $1B in loan sales, as well as facilitate the purchase and sale of $100M of traditional multifamily, office, and hotel assets.

Outside of his professional endeavors, Jeremy is active in his community. He spent several years as a Network Board Member for the Miami Jewish Federation and continues to actively volunteer with the organization. He also sits on the Advisory Board of Repair the World, an organization that mobilizes and engages young adults in social change in their communities, and is a Board Member of Wonder Kids, Inc., a non-profit that advances youth progress through innovative curriculum development.

Jeremy graduated with Honors from the University of Michigan in 2001 and received his Juris Doctor from the University of Miami School of Law in 2006, where he graduated cum laude. Jeremy is admitted to practice law in the state of Florida.
