FLSA Code: Non-Exempt

Estimated Salary: $90,000 - $100,000

 

Job Summary:

Provide support to attorneys advising on the regulatory and international aspects of Cohen & Steers, Inc., a NYSE-listed global asset management company. This role will include exposure to all facets of the business from corporate governance to funds, to international and US-based regulatory initiatives and regulatory forecasting work of the asset manager. Subject matters for the team are wide and varied, e.g., from Privacy to ESG to political impacts on regulation to licensing in foreign jurisdictions.

Primary responsibilities include assisting with qualitative regulatory filings, international fund filings, board of directors’ meetings and corporate governance matters, regulatory research, document and recordkeeping, assistance with drafting documents, and related administrative matters. Major Responsibilities/Activities:

  • Assist with set up, launch, and recordkeeping for European funds
  • Assist with drafting offering documents of funds including country-specific supplements and all aspects of document management including version control and translation management
  • Work with outside counsel on registration of funds in foreign jurisdictions and documentation of fund distribution arrangements
  • Respond to due diligence and AML requests
  • Assist with review of marketing materials
  • Support attorneys in preparing (electronic and occasionally physical) board materials for quarterly board meetings of affiliate and European funds, assist in running the board meetings and drafting minutes
  • Assist with routine regulatory filings for international affiliates and funds
  • Review routine vendor contracts and maintain contract recordkeeping system
  • Managing and reviewing privacy related documents and recordkeeping
  • Support special projects and initiatives in a principal capacity including researching through to producing materials
  • Recordkeeping, electronic and paper document and file management, maintenance and oversight of mailboxes, invoice processing, and calendar management

Minimum Requirements:

  • College degree; 2 years of law firm or in-house legal experience, ideally in a corporate background
  • Interested in learning, applying that learning, and producing thoughtful output with attention to detail
  • Ability to multi-task and prioritize workload to meet deadlines in a fast-paced, dynamic environment
  • Responsive, proactive, and able to work independently on routine projects and collaborate on complex matters as necessary
  • Self-aware, with excellent oral, organizational, and writing skills
  • Strong analytical, project management, communication, and people skills
  • Ability to partner and communicate with colleagues and service providers in remote locations
  • Demonstrates inclusive behaviors in support of a culture that values diverse perspectives
  • Experience with Microsoft Office Suite and exhibits an ability to learn new databases/programs quickly

  • Fund experience at a law firm or in-house
  • Investment management experience at a law firm or in-house
  • Regulatory experience at a law firm or in-house
  • Paralegal experience in an international firm
