Andrew Sachs

Andrew Sachs is an experienced investment management attorney who currently serves as EVP, General Counsel & Corporate Secretary at Customers Bank. Andrew has previously worked as an Investment Management Attorney at Kilpatrick Townsend & Stockton LLP from September 2008 to June 2021, where they advised registered investment companies, including open-end mutual funds and ETFs in both stand-alone and series trusts, and their respective boards of trustees on a variety of legal issues. These include organizational matters such as trust and fund formation, SEC registration and fund mergers/reorganizations; corporate governance matters such as representation of independent trustees; disclosure documents such as drafting and reviewing prospectuses, SAIs and marketing materials; compliance requirements such as Rule 38a-1 reporting and service provider oversight; SEC filings such as proxy statements and annual and semi-annual reports; and other operational and management issues.

In addition to their work with registered investment companies, Mr. Sachs also assisted state and SEC registered investment advisers with registered and private investment company formation, including domestic, offshore and master-feeder hedge funds, private equity and real estate funds. Andrew regularly provided advice regarding public and private offering documents on both sides of the transaction; assisting issuers with the drafting and preparation of documentation and governing documents and assisting investors with evaluating and negotiating terms of investment in funds and corporate opportunities.

Mr. Sachs' experience also includes assisting clients with respect to private equity, securities, mergers and acquisitions and general corporate matters. Andrew has assisted in mergers and acquisitions and private equity deals on both the buy-side and sell-side. Andrew also has experience in the representation of public companies in multi-billion dollar private debt offerings and assisting clients with the purchasing and financing of aircraft.

Andrew Sachs attended the University of Pennsylvania, where they earned a Bachelor of Arts in Political Science. Andrew then attended Wake Forest University School of Law, where they earned a Juris Doctor magna cum laude and was inducted into the Order of the Coif.
