IO’s Transaction Services and Corporate Legal Enterprise Team provides professional support to all parts of the agency. Lawyers within the team specialize in services that support infrastructure and commercial projects, construction, real estate and leasing, lending, privacy protection, government affairs, litigation, and contract management.

The Associate, Transaction Structuring supports the Transaction Structuring team on all project finance and commercial related issues on infrastructure and commercial projects across diverse sectors, including: procurement, deal structuring, evaluation, closing/legal process, senior executive and ministry approvals, negotiation, dispute resolution and contract management, with the responsibility to lead on certain items as determined by the supervisor. This includes assisting the Transaction Structuring team members to build and update sophisticated financial models, and conduct business case analysis for major infrastructure projects, including public-private sector options comparison, risks assessment and solutions validation. In addition to financial and risk analysis, the Associate will need to compile and present data in appropriate formats (e.g., charts, tables, decks etc.) to support decision making on complex concepts and projects.

What You Will Do:

  • Support day to day Transaction Structuring project work for financial and commercial workstreams on complex commercial projects (e.g. transactions in the area of services outsourcing, digital infrastructure and other government initiatives),other major infrastructure projects, including Private Public Partnership (PPP) projects (e.g., Design Build Finance Maintain – DBFMs, Design Build Finance – DBF, etc.), and real estate/land development projects (e.g., transit oriented communities development transactions), with oversight from management as required.
  • Support analysis and advice on a range of financial and commercial structuring and transaction topics, working collaboratively with other internal IO groups as well as external stakeholders such as advisors and clients.
  • Support IO divisions in business case assessments, financial modeling, evaluation of financial proposals, transaction structuring, and development of contractual documentation.
  • Working with a project lead, create and build customized financial models for unique projects with specific requirements. Models will be used to assess value, cash flows, total cost of ownership, and to analyze how initiatives support project goals.
  • Research, assist in compiling and analyzing precedent transactions (e.g., market information, financing alternatives, capital structures, risk allocation options and other market data) to support advice and analysis of commercial and real estate project proposals and PPP bid proposals.
  • Lead and/or support IO divisions on specific ad hoc initiatives on behalf of Transaction Structuring that support broader reform and evolution of contract documents across multiple delivery models and/or processes within IO.
  • Support senior management by preparing presentations, research paper, memorandum, etc. as required.

Who We’re Looking For:

  • Bachelor’s Degree in Commerce, Finance or other relevant discipline.
  • Professional certifications such as CFA, CPA, CA, CMA or similar would be an asset.
  • Over 2 years of relevant experience supporting senior decision makers in a commercial setting on complex issues, and working with external consultants and advisors to deliver quality advice and high-level service.
  • Demonstrated analytical, critical thinking and problem-solving skills and presentation/communication skills.
  • Critical commercial thinking that could be used for a broad number of infrastructure sectors including real estate/land development, transit, social infrastructure, technology, energy and utilities, etc.
  • A solid understanding of finance and financial modeling principles and techniques in order to build/review financial models and develop analytical tools and business cases is necessary.  An understanding of real estate/land development finance and PPP project finance would be an asset.
  • Direct experience with real estate/land development transactions and/or knowledge of transaction models in this space would be an asset.
  • Public-private project (PPP) financing knowledge, familiarity with public infrastructure planning and procurement would be an asset.
  • Experience in a transaction setting, such as experience in structuring, executing and closing deals would be an asset.
