⭐ Mission:  Join Qonto as a Senior Legal M&A and Governance Counsel to drive our strategic growth and strengthen our corporate structure. Working closely with Maya, our Legal Lead for M&A, Corporate & Governance, you'll play a pivotal role in shaping Qonto's future, handling high-impact projects that directly influence our trajectory in the European fintech landscape.

👩‍💻🧑‍💻 As a Senior Legal M&A and Governance Counsel at Qonto, you will:  • Lead M&A transactions: Manage both corporate and tax aspects of M&A deals, including cross-border transactions, collaborating with advisors, lawyers, and Strategy & Finance teams • Drive strategic corporate law transactions: Oversee restructurings, equity transactions, and fundraisings, working closely with local teams and external partners • Enhance corporate governance: Implement and revamp Qonto's governance practices to align with standards, including decision-making processes and governing bodies, coordination of the preparation of board meeting materials • Manage corporate secretary duties: Oversee record keeping and draft minutes for board and shareholder meetings • Spearhead post-acquisition integration: Lead projects such as customer migration and employee equity programs • Coordinate legal support: Manage external legal partners and internal stakeholders to ensure seamless execution of projects • Support group reorganization and tax structuring: Collaborate with the Finance team on optimizing Qonto's corporate structure • Provide day-to-day corporate and business law expertise across the organization

🤝 About your future manager: Before Qonto, Maya spent several years working for international and French law firms based in Paris, and mostly specialised in Corporate, M&A and Private Equity matters. She grew up in France from a multicultural background and studied French and Common law at Nanterre Université (Paris) and Duke University (Durham, USA). Now, Maya is focusing on leading strategic Legal projects at Qonto and shaping Qonto’s governance.

🏅 About You:  • Experience: You have at least 5 years of experience in corporate law and/or M&A, ideally with a mix of private practice and in-house roles. Experience in fintech, tech, or a listed company is a significant plus • Expertise: You possess deep knowledge of corporate law, M&A, and governance practices, with the ability to apply this expertise practically to Qonto's business • Solution-oriented: You provide business-oriented recommendations, balancing legal considerations with strategic objectives • Communication: You excel at managing relationships with C-level executives and external stakeholders, with strong oral and written communication skills • Project Management: You have a proven track record of leading complex, cross-functional legal projects and can handle multiple initiatives simultaneously • Analytical mind & rigorous: You deliver consistently well-reasoned, practical solutions to business problems with excellent attention to detail • Adaptability: You thrive in a dynamic, fast-paced environment and are excited by the evolving technological and legal landscape of fintech • Continuous improvement: You're constantly seeking to enhance your skills and Qonto's legal processes • Languages: You are at least fluent in both English and French
