Tricon is seeking a Compliance Attorney, in our Shanghai office, who will support both the Legal team and the Global Compliance team in the areas including but not limited to: Anti Bribery and Corruption (ABAC), Anti Money Laundering (AML), Anti-Boycott and Economic Sanctions (ABES), Anti-Trust, Know Your Counterparty/Customer (KYC); Privacy and Record Retention, Legal Contracts and Regulatory requirements.

Reporting directly to the Senior Compliance Manager and General Counsel for both Compliance and Legal matters and working together with dynamic compliance and legal teams, the successful candidate will be directly involved in the implementation, development, maintenance and monitoring of Compliance laws, policies, procedures, and best practices for China. S/he will help coordinate the legal Compliance area, perform internal control testing, documenting, and maintaining metrics on policy/procedural breaches and handling Compliance and Legal matters and projects for the Senior Compliance Manager and General Counsel.

Responsibilities:

Compliance

  • Assist in all functions related to China, US and international compliance matters and procedures for the Senior Compliance Manager and General Counsel.
  • Understand and ensure compliance for the Corporate Group in relation to compliance laws, regulations, policies and best practices.
  • Address internal and external compliance inquiries and resolve compliance questions ethically, quickly and in adherence to policy.
  • Assist in managing agency and consultancy agreements and ensure compliance with all onboarding procedures, payment and compliance policies pertaining to third parties.
  • Assist as needed to negotiate compliance clauses in commercial contracts; review commercial agreements for compliance mitigation.
  • Assist with overseeing KYC screenings, documenting the information obtained on the clients as required by global KYC procedures.
  • Monitor compliance for third parties including brokers, freight forwarders, agents, providers, reaching out to third parties as needed to address compliance matters or participate in interviews to compile compliance information.
  • Work with outside counsel as necessary in areas of compliance.
  • Assist in preparing, implementing and/or monitoring Compliance audits.
  • Ensure compliance training is carried out effectively working with training providers and systems, identifying training needs and carrying out targeted training in selected compliance areas around the world.
  • Be up to date and promptly communicate regulatory changes and relevant international trade issues with senior management and staff to ensure business units are in compliance with all applicable laws.
  • Review and audit commission transactions to reconcile and ensure accuracy of broker and agency charges and payment of expense internally to ensure compliance with applicable policies.
  • Oversee implementation of record keeping and record retention policies and controls.
  • Maintain Compliance Guides to employees.

 Legal

  • Support the contracts and regulatory functions of the Legal Department.

  • Negotiate and draft trade-related agreements including sales agreements, non-disclosure agreements, agency agreements, guarantees, structured finance agreements and other day-to-day agreements supporting the company’s overall trading and financing activity.

  • Provide strategic and tactical legal advice to Company business units internationally in relation to regulatory matters, government investigations and internal audits, including in the areas of international trade (e.g., anti-dumping) and customs, anti-trust and sanctions, among other regulatory areas.

Experience & Qualifications:

  • Admitted to practice as a lawyer in the Peoples Republic of China.

  • University legal qualification gained in the Peoples Republic of China or another major Asia Pacific, UK or US jurisdiction.

  • Ideally 7 to 10 years of relevant experience; experience in an ethics, compliance and legal department in APAC, ideally with an international multi-cultural business.

  • Experience in Corporate law and Employment law is preferred.

  • Fluent in reading, writing, drafting documents and speaking Mandarin and English essential. Fluency in other languages an advantage.
